TERMS OF USE AGREEMENT

YOU AGREE TO READ CAREFULLY AND TO ACCEPT THESE TERMS OF USE BEFORE USING
THIS LEARNING MANAGEMENT SYSTEM. YOUR CONTINUED USE OF THE LEARNING
MANAGEMENT SYSTEM INDICATES YOUR ACKNOWLEDGEMENT AND ACCEPTANCE OF
THESE TERMS OF USE.


In these Terms of Use “Dubai DET”, “We”, “we”, “our” or “us” means Department of Economy and
Tourism and its group entities, including, but not limited to, Dubai College of Tourism.
Dubai DET provides its employees, staff, certain approved suppliers, and consultants (“Users” or
“Personnel” or “You”) with access to the Learning Management System (“System” or “LMS”) and its
learning and training content, including various learning courses and training materials, available
through the System.


Dubai DET requires that the authorized Users comply with the Terms of Use, use the System
appropriately and protect the System and the Content (as defined below). Before using the System,
You must read and accept these Terms of Use.


Certain learning products made available to Users through the System, and certain areas within this
System may be governed by additional terms of use and/or other agreements (“Additional Terms”)
presented in conjunction with those products. You must read and agree to these Additional Terms
before using those areas, as necessary.


Dubai DET reserves the right, at its sole discretion, to change, modify, add or remove any portion of
these Terms of Use at any time. Notification of changes to these Terms of Use may be posted on the
LMS. Users are responsible for regularly reviewing the Terms of Use on the LMS. By continuing to use
the System, You agree to and accept to be bound by the Terms of Use, as amended from time to time.
In exchange for the privilege of obtaining access to the System, You, as a User, hereby agree to the
following terms and conditions:


1. System Access
Access to and use of the System is permitted only for current authorised Personnel of the Dubai DET,
that includes directors, officers, employees and consultants of the Dubai DET, for learning and training
purposes only. Access to or use of the System by any other persons is strictly prohibited without the
express prior written consent of Dubai DET. Dubai DET may limit Your access right to a portion of the
Content available through the System. Access to and use of System may be revoked or restricted at
any time at the sole discretion of Dubai DET. Dubai DET may or may not give You a prior notice of
revocation or restriction of Your access.


2. Confidential Information
All information available on or through the System, including, but not limited to, usernames
(sometimes referred to as “User IDs”) and passwords, DET policies, training programs, learning
courses, reading materials, manuals, guidance (all of the preceding information is referred to herein as
the (“Confidential Information”)), is deemed to be proprietary to and confidential information of
Dubai DET. You do not acquire any right or interest in the Confidential Information by Your use of the
System. If You learn about an unauthorized use of any Confidential Information, You must report it to
Dubai DET immediately by using the contract details provided below. You may not disclose or share
the Confidential Information with any person. Each User will have a separate account with his or her
own username and password.
You may not use another User’s account and password. Dubai DET will
never ask You for Your password. It is Your responsibility to maintain the confidentiality of your
System username and password. You are entirely responsible for all activities that occur under Your
password and username. You must take the precautions that the Dubai DET periodically specifies to
protect the Confidential information. If You learn of a breach of the confidentiality of a username or
password assigned to You, or any breach of security through a User’s account, You must report it to
the Dubai DET immediately. Dubai DET is not liable for any loss that You may incur as a result of
someone else using Your password or account, either with or without Your knowledge. Your
confidentiality obligations continue even if Your access to the System ends.


3. Rules of Conduct
By way of illustration and not limitation, You represent, warrant and undertake that You shall not
upload, post or transmit to or distribute or otherwise publish through the System any materials which
(i) restrict or inhibit any other user from using and enjoying the System, (ii) are unlawful, threatening,
abusive, libellous, defamatory, obscene, vulgar, offensive, harassing, pornographic, profane, hateful,
violent, sexually explicit or indecent, or otherwise objectionable, (iii) constitute or encourage conduct
that would constitute a criminal offense, give rise to civil liability or otherwise violate applicable law,
(iv) violate, plagiarize or infringe the rights of third parties including, without limitation, copyright,
trademark, patent, rights of privacy or publicity or any other proprietary right, (v) contain a virus,
Trojan horse, worms, time bombs, spiders, robots or other harmful component intended to disrupt or
interfere with the intended operation of the System or any other site on the World Wide Web, (vi)
impose an unreasonable or disproportionately large load on any systems or infrastructure, or (vii)
constitute or contain false or misleading indications of origin or statements of fact. In addition You
agree that You will not (a) attempt to gain unauthorized access to the System, any part thereof, or
the accounts of others; (b) use the System, or any part thereof, to harass or harm any other User or
any other person in any way; (c) impersonate any person or entity, or falsely state or otherwise misrepresent Your affiliation with a person or entity; (d) interfere with or disrupt the System or servers
of networks connected to the System, or disobey any Terms of Use, requirements, procedures, policies
or regulations of networks connected to the System; (e) harvest, collect or store information about
the Users of this System or the Content posted by others on this System or use such information for
any purpose inconsistent with the purpose of the System; (f) disparage, defame, libel or make untrue,
malicious, offensive statements about Dubai DET or the System or other Users; or (g) use the System
for commercial purposes or (h) use the System for Services to violate any applicable, local, state,
national or international law or regulation. This list is not intended to be exhaustive. If You violate any
of the above-mentioned representations, warranties, or covenants, Your access to and use of System
may be revoked or restricted at any time at the sole discretion of Dubai DET. A breach of the above
provisions may constitute a criminal offence under the laws of the United Arab Emirates. If we suspect
that a criminal offence has been committed, we will report it to the relevant law enforcement
authorities, and we will co-operate with those authorities by disclosing Your identity to them. In the
event of such a breach, Your right to use our Intranet will cease immediately.


4. Intellectual Property Rights
Dubai DET owns (and where applicable is the licensee of) the Intellectual Property Rights (as defined
below) in the System and the Content (as defined below), which is protected by United Arab Emirates
and international intellectual property laws and treaties. All such rights are reserved. Except where
expressly provided otherwise in these Terms of Use, the Content or any portion of the Content may
not be reproduced, downloaded, stored, distributed, duplicated, copied, sold, resold, modified to create
derivative works or otherwise exploited for any commercial purpose that is not expressly permitted by
Dubai DET. Additionally, the System may not be decompiled, reverse engineered, disassembled or in
any way exploited any of the intellectual property of the System itself.
In these Terms of Use, "Intellectual Property Rights" means intellectual property rights and includes:
(i) copyright, patents, database rights and rights in trademarks, designs, know- how and confidential
information (whether registered or unregistered); (ii) applications for registration, and the right to
apply for registration, for any of these rights; (iii) all other intellectual property rights and equivalent
or similar forms of protection existing anywhere in the world; (iv) underlying HTML, text, graphics,
logos, button icons and images, audio clips, video clips, digital downloads, data compilations (as well
as the organization and lay out of our System), software and other content, including third-party
providers, published and made available to You on our System and (v) any licenses, permissions or
rights to use obtained by a third-party owner of intellectual property to use the content on our System
and the System; and "Content" refers to the learning content made available on the System that You
have been granted access to via the login details You have been provided with.

Dubai DET grants to the Users a non-exclusive, non-transferable, non-sublicensable license during
their tenure with Dubai DET or with an employee outsourcing company of Dubai DET, to access the
System and to use the Content solely for the learning and training purposes as directed by Dubai DET.
If You use any part of our Content in breach of this section 4 of these Terms of Use, Your right to use
our Content (including as permitted in these Terms of Use) will cease immediately and You must, at
our option, return or destroy any copies of the Content You have made.
Nothing displayed on our System should be construed as granting any right of use in relation to any
logo, masthead or trademark displayed on them without the express written consent of the relevant
intellectual property rights owner or licensor.
If the Users provide their feedback, offer suggestions or recommendations to Dubai DET regarding
the System and any Content, including new features or functionality relating thereto or the like
(“Feedback”), Dubai DET is free to use such Feedback at its sole discretion. Users hereby assign to
Dubai DET on User’s behalf all right, title, and interest in, and Dubai DET is free to use, without any
attribution or compensation to the Users, any such ideas, know-how, concepts, techniques, or other
intellectual property rights contained in the Feedback, although Users are not required to send any
Feedback.


Furthermore, the Users agree that any work, invention, idea or report created in its exercise of the
role, that is reproduced as a training, presentation, course or other learning material (“Courses”) in
the System, shall be construed as “work for hire” within the meaning of the copyright laws of the
United Arab Emirates, and that Dubai DET is entitled as author to the copyright and all of the rights
to the Course, throughout the world, including, but not limited to, the right to make such changes in
the Courses and such uses of the Courses, as Dubai DET may determine in its sole and absolute
discretion. To the extent that the foregoing does not apply, the Users shall assign to Dubai DET, for
no additional consideration, the Users' entire right, title, and interest in and to all Courses and
intellectual property rights therein, including the right to sue, counterclaim, and recover for all past,
present, and future infringement, misappropriation, or dilution thereof, and all rights corresponding
thereto throughout the world. The Users hereby represent and warrant that the provision of Courses
and the use by Dubai DET of the Courses, do not and will not, to the best of Users' knowledge after
exercising reasonable diligence, defame or violate any third-party’s intellectual property rights.


5. Privacy and Security
Dubai DET will use, store and process Your personal data when You use the System in accordance
with the Privacy Notice.

If You have any questions regarding Your personal data (including the right of access, the right to
rectification, the right to erasure, the right to restrict processing, the right to data portability, the right
to object and the right not to be subject to a decision based solely on automated processing), please

6. Disclaimer
Access of the System and the Content are provided by us on an "as is and "as available" basis without
any express or implied warranty of any kind. To the full extent permissible by applicable law, Dubai
DET disclaims and excludes all warranties, express or implied, including but not limited to, implied
warranties of External Service providers, competence, merchantability and fitness for a particular
purpose, representations or other terms which may apply to our System or any Content.
We do not guarantee that our System, or the Content or any part thereof, will be available at all times
or be uninterrupted, or that the System and/or any Content will be free from errors, omissions, or
defects, whether material or otherwise.
You expressly understand and agree that Dubai DET and third-party Content provider shall not be
liable to You for:


i) any loss or damage which You may incur, including without limitation as a result of any reliance
placed by You on the accuracy, completeness or suitability of the Content, or any changes Dubai DET
may make to the System or Content, or any temporary interruption or permanent cessation in the
provision of the System or Content, or, if applicable, Your failure to safeguard Your usernames or
passwords.


ii) to the full extent permitted by law, for any direct, indirect, special, incidental, consequential, punitive
or exemplary damages arising out of or in connection with Your use of or related to the System and
Content, including the content You access via links, (including without limitation for loss of or damage
to business, revenues, goodwill or data) even if Dubai DET had previously been advised of, or
reasonably could have foreseen, the possibility of such damages, however they arise, whether in breach
of contract, negligence or other tortuous action.


We may update our System from time to time, and may change the Content at any time. However,
please note that any of the Content on our System may be out of date at any given time, and we are
under no obligation to update it.


7. Governing law

The System is managed by Dubai DET, and the laws of Dubai and, where applicable, the federal laws
of the United Arab Emirates, govern these Terms of Use, without giving effect to any principles of
conflicts of laws.
